UPGRD Affiliate Program Terms & Conditions

1. Introduction

These Terms & Conditions ("Terms") apply to everyone who takes part in the UPGRD Affiliate Programme (the "Programme"). "UPGRD", "we" and "us" mean the operator of dailyupgrd.com. "Affiliate" and "you" mean anyone accepted into the Programme.

By applying to or taking part in the Programme, you agree to these Terms and any additional guidelines UPGRD provides. If you do not agree, do not join or continue in the Programme.

2. Eligibility

Participation is subject to approval by UPGRD. We may accept or reject any application at our sole discretion and do not have to give a reason.

You must be at least 18 years old and provide accurate, complete information when registering. You must keep your account, contact and payment details up to date. Each person may hold only one affiliate account.

3. Commission

Affiliates earn 10% commission on qualifying sales made through their unique affiliate link or discount code.

For subscription products, commission is paid on the first payment and on each renewal payment, for as long as the customer's subscription continues and you remain in the Programme. UPGRD may stop paying commission on renewals, for any affiliate or for all affiliates, at any time and at its sole discretion. Renewal commission ends automatically if you leave or are removed from the Programme.

Commission is calculated on the amount the customer actually pays, excluding VAT, shipping, cancelled orders, refunds, returns, chargebacks and any other transaction UPGRD deems ineligible.

UPGRD may withhold or reverse commission linked to fraudulent activity, self-referrals, misuse of links or codes, or any breach of these Terms. Where commission has already been paid on a sale that is later refunded or found to be ineligible, UPGRD may deduct it from future payments.

4. Customer Discount Codes

Affiliate discount codes give customers 10% off. On subscription products, the discount applies to the first payment only.

Affiliate codes cannot be combined with any other discount code, promotion or offer. You must describe the discount accurately and must not promise customers any other offer, price or benefit.

UPGRD may change the discount value, or deactivate or replace any code, at any time.

5. Payment

Commission is paid through our affiliate platform (Social Snowball) and is subject to that platform's terms and payout schedule.

Commission on each sale is held for 30 days after the order date to allow for returns and refunds, then becomes payable.

You are responsible for providing accurate payment details. UPGRD is not responsible for payments delayed or lost because of incorrect details you supplied.

6. Affiliate Responsibilities

Affiliates agree to:

  • Promote UPGRD products honestly and responsibly.
  • Clearly disclose every affiliate or gifted post in line with the ASA/CAP Code and CMA guidance, for example by using "#ad" or "Affiliate" at the start of the caption and the platform's paid-partnership label where available.
  • Make no misleading, false, exaggerated or unsubstantiated claims about UPGRD products, including medical or health claims.
  • Follow any brand guidelines or briefs UPGRD provides.
  • Keep their affiliate account details and payment information accurate.
  • Comply with all laws and platform rules that apply to their content and promotion.

Affiliates must not make promises, guarantees or claims on behalf of UPGRD.

7. Prohibited Activity

Affiliates must not:

  • Use their own link or code on their own orders, or on orders for household members, to earn commission or a discount (self-referral).
  • Post their code on coupon, voucher, deal or cashback sites without UPGRD's written permission.
  • Bid on "UPGRD", "dailyupgrd" or any variation or misspelling in paid search, or run paid ads using UPGRD's name, logo or branding, without written permission.
  • Use spam, fake accounts, bots, bought followers or engagement, or any deceptive marketing practice.
  • Create websites, social accounts or usernames that could be mistaken for official UPGRD channels.
  • Use UPGRD branding, product images or content in any way not approved by UPGRD.
  • Promote UPGRD alongside illegal, hateful, explicit or otherwise harmful content.
  • Do anything that could damage UPGRD's reputation or brand image.

8. Free Products and Benefits

Where offered, free products, gifting and other benefits are subject to availability and UPGRD's approval, and remain at UPGRD's discretion.

Receiving a free product or joining the Programme does not guarantee further gifting, additional benefits or paid collaborations. Unless a separate written agreement says otherwise, the Programme does not guarantee any minimum number of sales, commission earnings or future opportunities.

UPGRD may ask affiliates who receive gifted products to post about them within a reasonable timeframe. Affiliates who repeatedly accept gifts without posting may be removed from the Programme.

9. Tracking and Attribution

Affiliate sales are tracked through our affiliate platform using unique referral links or discount codes.

UPGRD cannot guarantee that every referral will be tracked, including where there are technical issues, cookie restrictions, code misuse, or purchases that do not meet the Programme's eligibility criteria.

The affiliate platform's records are final in deciding eligible referrals and commission, subject to correction of any errors we identify.

10. Content Usage Rights

By joining the Programme, you grant UPGRD a worldwide, non-exclusive, royalty-free, perpetual and irrevocable licence to use any content you create, publish or submit that features or promotes UPGRD products ("Affiliate Content").

This licence allows UPGRD, and anyone acting on its behalf, to:

  • Repost, share, reproduce and display Affiliate Content on UPGRD's social media, website, emails and other owned channels.
  • Use Affiliate Content in paid advertising, including social media ads (such as Meta, TikTok and Pinterest ads), whitelisted or "Spark" ads run through your account, and other online or offline ads.
  • Edit, crop, cut, subtitle, add music or text to, and combine Affiliate Content with other material.
  • Use your name, username, image, likeness and voice as they appear in Affiliate Content, in connection with that use.

No further payment is due for this use beyond the commission and any benefits described in these Terms, unless agreed separately in writing.

The licence continues after you leave or are removed from the Programme for content published or submitted while you were an affiliate. UPGRD will stop starting new paid ad campaigns using your content within a reasonable time if you ask in writing after leaving, but may continue to use content already in live campaigns and on its owned channels.

You confirm that you own or have permission to use everything in your Affiliate Content, including music, images, other people featured and any third-party material, and that UPGRD's use of it will not infringe anyone's rights.

11. Account Access for Ads

If UPGRD asks to run ads through your social account (for example, Spark Ads or partnership ads), you may be asked to provide an authorisation code or grant access through the platform. UPGRD will use that access only to run ads featuring your Affiliate Content and will not post new content to your account without your agreement.

12. Suspension, Removal and Bans

UPGRD may suspend, restrict or permanently remove any affiliate from the Programme at any time, at its sole discretion, with or without notice and with or without giving a reason. This includes, but is not limited to, where an affiliate:

  • Breaches these Terms, brand guidelines or any applicable law.
  • Engages in fraudulent, misleading or unethical promotion.
  • Posts content or behaves in a way that UPGRD considers could damage its reputation or brand image, whether or not the content relates to UPGRD.
  • Misuses discount codes, referral links, commission or Programme benefits.
  • Is inactive, or no longer fits the Programme's requirements or brand values.

UPGRD may permanently ban any affiliate who has been removed. A banned person may not rejoin the Programme under any name, account or alias, and any new account they open may be closed without notice.

On suspension or removal, UPGRD may deactivate the affiliate's links and codes immediately. UPGRD may also ask the affiliate to remove or amend content, stop using affiliate links or codes, and stop presenting themselves as an UPGRD affiliate, and the affiliate must do so within 7 days.

Commission earned legitimately on qualifying sales before removal will be paid in line with these Terms. UPGRD may withhold disputed commission, and will forfeit or reverse commission linked to fraud, invalid transactions or breaches of these Terms.

Affiliates may leave the Programme at any time by contacting us.

13. Brand Representation

Affiliates must not imply that they are employees, official representatives or agents of UPGRD. You may describe yourself as "an UPGRD affiliate" but must not make commitments on behalf of the company.

UPGRD may ask you to change or remove any promotional content it considers inconsistent with its brand guidelines or marketing standards, and you agree to do so promptly.

14. Data Protection

UPGRD will handle your personal data in line with its Privacy Policy. Your details will be shared with our affiliate platform (Social Snowball) and email provider (Klaviyo) to run the Programme, track sales and pay commission.

15. Changes to the Programme

UPGRD may amend, suspend or end any part of the Programme at any time, including commission rates, discount values, eligibility and benefits, or these Terms.

Where reasonably practicable, we will notify affiliates of material changes. Continuing in the Programme after a change means you accept the updated Terms.

16. Relationship and Tax

The Programme does not create an employment relationship, partnership, joint venture or agency between you and UPGRD.

You are responsible for your own taxes, including declaring affiliate income to HMRC where required, and for complying with any laws that apply to your earnings.

17. Liability

To the fullest extent permitted by law, UPGRD is not liable for any indirect or consequential loss, or loss of earnings, arising from the Programme, including tracking failures, suspension or removal. UPGRD's total liability to any affiliate is limited to the unpaid commission properly owed to them. Nothing in these Terms limits liability that cannot be limited by law.

You agree to cover any loss, claim or cost UPGRD suffers because of your breach of these Terms, your content or your promotional activity.

18. Governing Law and Contact

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
